Why Georgia's PE Threshold Requires Different Thinking
In Armenia, Kazakhstan, and Azerbaijan, PE threshold is a fixed day count (183 days, or 90 for Azerbaijan). Georgia is different. Georgia's PE test is substance-based, under Tax Code Article 29. There is no calendar-day threshold. PE is triggered when: (1) A foreign company conducts management activities in Georgia — signing contracts, generating revenue attributable to Georgian operations, or making strategic decisions. (2) A dependent agent in Georgia has authority to conclude contracts on the foreign company's behalf.
For a pure engineering developer who writes code, has no authority to sign contracts on behalf of the European company, and does not represent the European company commercially — the management PE risk is low.
